Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Open Operator platform, community, and related services (collectively, the “Service”) operated by OpenOperator Pty Ltd (ABN pending) (“Open Operator”, “we”, “us”, or “our”), a company registered in Australia.

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement under Australian law.

2. Account Registration

You must provide accurate, current, and complete information during registration. You are responsible for safeguarding your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorised use.

3. Subscriptions & Payment

Access to the Service is provided on a subscription basis. Prices are displayed in Australian Dollars (AUD) and are inclusive of GST where applicable. Payment is processed via Stripe. By subscribing, you authorise us to charge your nominated payment method on a recurring basis (monthly or annually, depending on the plan selected).

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No pro-rata refunds are provided for partial periods, except as required under the Australian Consumer Law.

4. Australian Consumer Law

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

If the Service fails to meet a consumer guarantee, you may be entitled to a remedy including a refund, replacement, or compensation for reasonably foreseeable loss, as required by law.

5. Use of the Service

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable law.
  • Harass, abuse, threaten, or intimidate other members of the community.
  • Share, redistribute, or resell access to the Service, including login credentials, community content, playbooks, or proprietary materials.
  • Scrape, crawl, or use automated tools to extract data from the Service.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity.
  • Upload or transmit viruses, malware, or any other malicious code.

We reserve the right to suspend or terminate your access to the Service at any time if we reasonably believe you have breached these Terms.

6. Community Guidelines

The Open Operator community is a professional environment. Members are expected to conduct themselves respectfully and constructively. We do not tolerate discrimination, hate speech, spam, self-promotion unrelated to the community’s purpose, or any conduct that disrupts the experience for other members.

Violations of community guidelines may result in warnings, temporary suspension, or permanent removal at our discretion.

7. AI Agent & Tools

As part of the Service, we guide you through setting up your own AI agent on your own hardware or cloud infrastructure. You retain full ownership and control of your AI agent and any data processed by it. Open Operator does not host, access, or store data processed by your agent unless you explicitly share it with the community.

AI-generated outputs are provided as-is. You are responsible for reviewing, validating, and applying any outputs generated by your AI agent. Open Operator makes no warranty regarding the accuracy, completeness, or fitness for purpose of AI-generated content.

8. Intellectual Property

All content, materials, playbooks, sprint frameworks, branding, and software provided through the Service are owned by Open Operator or its licensors and are protected by Australian and international intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to access and use these materials for your personal or internal business use during your active subscription.

Content you create and share within the community (e.g., “Show Your Agent” presentations, forum posts) remains your intellectual property. By sharing content in the community, you grant Open Operator a non-exclusive, royalty-free licence to display, distribute, and reference that content within the Service.

9. Limitation of Liability

To the maximum extent permitted by law (and subject to clause 4 above), Open Operator’s total liability to you for any claim arising from or relating to the Service is limited to the amount you paid to Open Operator in the 12 months preceding the claim.

To the maximum extent permitted by law, Open Operator is not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or goodwill.

10. Indemnification

You agree to indemnify and hold harmless Open Operator, its directors, officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your breach of these Terms, or your violation of any third-party rights.

11. Modifications

We may update these Terms from time to time. We will notify you of material changes via email or through the Service. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

12. Termination

Either party may terminate this agreement at any time. You may cancel your subscription through your account settings or by contacting us. Upon termination, your access to the Service will cease at the end of your current billing period.

Clauses that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will continue to apply.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of the State of New South Wales, Australia. Any disputes arising under or in connection with these Terms are subject to the exclusive jurisdiction of the courts of New South Wales.
